SALE OF VACANT UNREGISTERED LAND

(a) This Contract is subject to the registration in the office of the Department of Natural Resources and Mines (“the Titles Office”) of a plan of subdivision in substantially the same form as the plan of reconfiguration attached to this Contract in Annexure B within 75 Days of the date of this Contract (“the Registration Date”).

(b) If clause (a) above is not satisfied by the Registration Date then either party may terminate this Contract by written notice to the other whereupon this Contract will be at an end and neither party will have any claim against the other. The Deposit holder must repay to the Buyer the Deposit and other monies received by the Deposit holder on account of the Purchase Price but without interest, costs or damages and those monies will be accepted by the Buyer in satisfaction of all claims, demands, costs and charges which the Buyer may have incurred relating to this Contract.

(c) All monies payable under this Contract by the Buyer prior to Settlement must be paid to the Deposit holder to be held in trust in accordance with the provisions of the Land Sales Act. 5

(d) Subject to the Land Sales Act, the Buyer will not raise any claim or objection in the event that the plan of subdivision ultimately registered at the Titles Office differs in any non-material respect from the plan of reconfiguration attached to this Contract.
